While NexFyla provides 100% legally authentic U.S. corporate formation documents, EIN certificates, and registered agent support, certain international third-party financial institutions and payment gateways (including Mercury, Relay, Airwallex, Chase, Bank of America, and Stripe) maintain independent compliance guidelines and regional accessibility policies outside NexFyla's operational control.
2. Regional & Sanctions Restrictions
Even when a non-resident founder legally owns an active U.S. LLC, individual financial providers may restrict onboarding based on the applicant's country of residence, citizenship, or high-risk business category. These restrictions stem from international AML laws, FATF directives, and internal risk thresholds set by each bank.
3. Document Authenticity & Verifiability Standards
All formation documents, certified Articles of Organization, and IRS EIN documentation generated through NexFyla are 100% genuine, verifiable on state Secretary of State online databases, and compliant with U.S. federal and state statutory requirements.
4. Client Due Diligence Obligations
We advise all entrepreneurs to: (a) verify geographic eligibility criteria of their preferred bank or payment gateway prior to incorporating; (b) provide transparent business operational details and live corporate websites during banking onboarding; and (c) acknowledge that NexFyla functions as a documentation facilitator, not an underwriting authority.

NexFyla shall not be held liable for any commercial losses, processing delays, or application denials enacted by independent financial institutions. Bank account approvals remain exclusively under the discretion of the respective banking partner compliance teams.
